Terms & Conditions
1. Agreement
These Terms govern your use of SHUP8, including shup8.com, admin.shup8.com, your SHUP8 shop, our mobile apps and any related service (the “Service”). By creating an account, ticking the acceptance box, or using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service for a business, you confirm you can bind that business. If you do not agree, do not use the Service.
You must be at least 18 years old and legally able to enter a contract.
2. What SHUP8 is, and is not
SHUP8 is software that lets you build an online shop, list products, take orders and manage your business. SHUP8 is not a marketplace, seller, buyer, agent, shipper or payment institution. Every sale is a contract between you (the “Merchant”) and your customer. You are the seller of record and are solely responsible for your products, prices, delivery, refunds, taxes and customer service.
3. Your account
- Give accurate information and keep it current.
- Keep your password secure. You are responsible for all activity under your account. Tell us immediately at the address in section 19 if you suspect unauthorised access.
- One person or business may not hold multiple free accounts to avoid limits or fees.
4. Free shop and custom domains
After sign-up you receive a shop at a SHUP8 address, such as yourshop.shup8.com. The address remains the property of SHUP8; you receive a licence to use it while your account is active. We may reclaim or refuse names that infringe a trademark, impersonate another person or business, or are offensive.
Connecting your own domain (for example yourbrand.com) requires an active paid subscription. You must own or control the domain and keep its registration and DNS settings in good standing. If the subscription ends, the custom domain is disconnected and your shop continues at its SHUP8 address, subject to the free plan limits. We are not responsible for domain registration fees, renewals, or loss of a domain.
5. Subscriptions, fees and refunds
- Plans. Current plans, limits and prices are shown in your admin panel and on our website, in Nigerian Naira (₦) and inclusive or exclusive of VAT as stated at checkout.
- Billing. Paid plans renew automatically each billing period until cancelled. You authorise us, through our payment provider, to charge your chosen payment method.
- Cancellation. Cancel any time in your admin panel. Cancellation takes effect at the end of the paid period; you keep paid features until then.
- Refunds. Fees are non-refundable except where required by law or where we state otherwise in writing. [Optional: add a 7-day first-payment refund window.]
- Failed payments. If payment fails we may retry, suspend paid features, or move your shop back to the free plan after notice.
- Price changes. We will give at least 30 days’ notice before a price increase applies to you.
- Taxes. You are responsible for all taxes on your own sales. We charge VAT on our fees where required.
6. Payments from your customers
Online payments. Online payments in your shop are processed by Paystack or another licensed provider we make available (the “Payment Provider”). To accept them you must complete the provider’s verification (KYC) and connect a settlement bank account. Customer payments are settled by the Payment Provider directly to your bank account, after deduction of (a) the provider’s own fees and (b) the SHUP8 processing fee, currently 1.5% of the transaction value per successful online transaction, which is deducted automatically through a split payment. The current fee is always shown in your admin panel. We will give at least 30 days’ notice before changing it.
We do not hold your money. SHUP8 does not receive, hold or take custody of your sales proceeds other than our own fee. We are not a bank, payment service provider or escrow agent. We are not liable for provider delays, holds, reversals, chargebacks, account restrictions or provider fees. You are responsible for chargebacks, refunds and fraud losses on your orders, and your use of a Payment Provider is subject to that provider’s own terms.
In-person and offline sales. You may use SHUP8 to list products and take orders that you settle offline, such as cash, bank transfer, pay-on-delivery or an in-person meeting. These transactions are solely between you and your customer. SHUP8 is not a party to them, does not verify buyers, and is not responsible for payment, delivery, quality, disputes or personal safety. You are responsible for issuing receipts and paying the taxes due. We recommend meeting in public places and confirming payment before handing over goods.
7. Your responsibilities as a Merchant
- Describe products honestly and fulfil orders as promised.
- Publish your own return, refund, delivery and contact information, and comply with consumer protection law, including the Federal Competition and Consumer Protection Act and applicable regulations.
- Hold all licences, permits and registrations your products or business require (for example NAFDAC, SON or professional licences).
- Do not use the Service for unsolicited bulk messages. Marketing messages to customers need valid consent.
- Show your customers a privacy notice and obtain any consent that the law requires (see section 10).
8. Prohibited items and conduct
You must not sell, promote or facilitate:
- illegal goods or services; narcotics; weapons, ammunition or explosives;
- counterfeit, stolen or pirated goods;
- adult sexual content or anything involving minors in a sexual way;
- prescription or controlled medicines without proper authorisation; unlicensed financial, investment, “doubling” or pyramid schemes;
- human body parts, endangered species, or anything that promotes violence or hatred;
- fraudulent, deceptive or phishing activity, or anything that breaches the Cybercrimes Act or other applicable law.
You also must not attack, reverse engineer, overload or scrape the Service, or use it to distribute malware. We may remove content, suspend a shop or report unlawful activity to authorities without prior notice where we reasonably believe these rules are broken.
9. Content and intellectual property
Yours. You keep ownership of your products, text, images, logos and other content (“Merchant Content”). You give us a non-exclusive, worldwide licence to host, display, reproduce and adapt it solely to operate and promote the Service for you.
Ours. SHUP8, its software, designs, templates, logos and documentation belong to us or our licensors. Nothing in these Terms transfers them to you. You may not copy our brand or present yourself as SHUP8.
Infringement. You promise you have the rights to everything you upload. If you believe content on a SHUP8 shop infringes your rights, email us with the shop address, what is infringed and proof of ownership. We may remove the content and may disable repeat infringers.
10. Customer data and privacy
When you collect personal data from your customers (names, phone numbers, addresses, orders), you are the data controller and SHUP8 acts as your data processor, handling that data only to provide the Service and on your instructions. You must comply with the Nigeria Data Protection Act 2023 and any other law that applies to you, including having a lawful basis and a privacy notice for your shop.
For data about you and your account (as a SHUP8 user), SHUP8 is the controller; see our Privacy Policy. We use reasonable technical and organisational security measures, and will notify you without undue delay if we confirm a breach affecting your customer data. You may export your data in the admin panel at any time.
11. Third-party services
The Service may link to or integrate with third parties (payments, couriers, social platforms, apps, domain registrars). We do not control them and are not responsible for their services, availability or terms. Any listing, sale or ad on a social platform is subject to that platform’s rules.
12. Availability and changes to the Service
We work to keep SHUP8 available and secure, but we do not guarantee uninterrupted or error-free operation. We may perform maintenance, and may add, change or retire features. Support is provided on the channels and hours listed on our website. Back up your own critical records.
13. Suspension and termination
- By you: close your account at any time from the admin panel.
- By us: we may suspend or end your access immediately for breach of these Terms, unlawful activity, non-payment, risk to other users or the platform, or legal request. For other reasons we will give 14 days’ notice.
- Data after closure: you can export your data for [30] days after closure, after which we may delete it, except what we must keep by law.
- Sections that by nature should survive (including 9, 14, 15, 16 and 17) continue after termination.
14. Disclaimers
The Service is provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not promise any level of sales, traffic, search ranking or income.
15. Limitation of liability
To the fullest extent allowed by law, SHUP8 is not liable for indirect, incidental, special or consequential loss, or for lost profits, revenue, data or goodwill. Our total liability for any claim relating to the Service is limited to the fees you paid us in the 12 months before the event giving rise to the claim (or ₦[10,000] if you are on the free plan). Nothing here excludes liability that cannot be excluded by law.
16. Indemnity
You will defend and compensate SHUP8, its owners, staff and partners against claims, losses and costs (including reasonable legal fees) arising from your products, your Merchant Content, your dealings with your customers, your breach of these Terms or your breach of any law.
17. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. Please contact us first and we will try in good faith to resolve any dispute within 30 days. If unresolved, the dispute will be referred to [mediation / arbitration in Lagos under the Arbitration and Mediation Act 2023], and otherwise to the courts of Lagos State. Nothing prevents either party seeking urgent court relief. Disputes between you and your own customers are yours to resolve.
18. Changes to these Terms
We may update these Terms. For material changes we will notify you by email or in your admin panel at least 14 days before they apply. Continuing to use the Service after that date means you accept the update. If you disagree, close your account before the effective date.
